Hospiscare Merges with Exmouth & Lympstone Hospiscare

Charity specialists from Tozers provided legal support on the recent charity merger between Hospiscare and Exmouth & Lympstone Hospiscare.

The Trustees of both charities believe that the merger will provide many benefits and help meet the increasing need for end of life care in Exmouth, Lympstone, Exeter, Mid & East Devon.

We were delighted to act for Hospiscare throughout the transaction, providing legal support from the very early initial discussions and negotiations, assisting on heads of terms, due diligence, and then drafting and negotiating the merger agreement and other transaction documentation.

James Evans, head of charities and social enterprise at Tozers acted as lead lawyer during this process with assistance from solicitors Peter Rooney (property aspects) and Callum Skelley (due diligence).

Andrew Randall CEO commented: “Tozers’ advice and guidance was invaluable in steering us through this important strategic merger. At a time of growing and more complex needs for end of life care, the merger will enable us to support more patients and families at a time when they need us the most.”

This is the latest in a series of charity mergers and collaborations which Tozers’ charities team has assisted with. We expect this to be a continuing trend as charities look to maximise their impact for beneficiaries and ensure the most effective use of resources.
